Spam/Hack/Error. I Need Help Now!!!

Hello,
Problem number 1:
I have this problem for like 10 days, never happen before, in my website i see popout ads i don't know how could they been add to my website , they are like Spam/ Or Hack. Example :
1.
http://www.travian.ae/?ad=10162_10926...1092633310
2.
http://ad.foxnetworks.com/rw?title=&a...m/pop.html
- How can i block these links so they never show up ??
Problem number 2:
Every 4 - 7 days a Panel show up name : Weblinks in the left side full of spam/hack links, it's easy to remove i go to control panel - panels - and remove that panel , but my Question why it show up ? and how to block it and never see this happen again
problem number 3:
I read this before by a user that he have footer problem i have the same problem, the copyright show up to the right side not in the center , why and how to fix it !? i tried looked into side_left.php side_right.php footer.php can't find anything !!

i corrected the error, sorry about subheader2.php it's > subheader.php
